1) Onlypro Hair Extensions will provide and supply the Partner Salon with Hair Extensions and other products related to the installation and maintenance of Hair Extensions in terms of this agreement. 

2) All orders for goods or services from the Partner Salon which may be accepted by the Onlypro Hair shall be placed on the Onlypro Hair online store unless otherwise agreed between the parties.

 3) Onlypro Hair Extensions or any products that are purchased from Onlypro Hair may under no circumstances be sold under a different name, brand, packaging or description other than that which was received directly from Onlypro Hair.

4) Partner Salons and retailers may under no circumstances purchase any product(s) for the re-sale of such products unless specifically agreed between the parties by separate agreement.

5) Onlypro Hair Extensions reserve the right to invoke prices changes with a notice period of at least 30 days, the purchaser will be notified in writing of any prices changes or increases.

6) Partner Salons and or stylists may under no circumstances hold a sale or discount without the written consent of Onlypro Hair. 

7) Delivery of goods shall be made by an outsourced courier company unless otherwise agreed between the parties. Dispatch and delivery of goods will take place only once payment has been received. Orders placed and paid for before 12h00 on a business day will be dispatched on the same business day and orders placed after 12h00 will be dispatched on the following business day unless otherwise agreed. The onus rests on the purchaser to ensure that orders are placed and delivered in time for the arrival of their guest, Onlypro Hair will not take responsibility for late delivery of packages.

8) The payment terms shall be, unless otherwise agreed between the parties by a separate signed agreement, full payment upon order, Onlypro Hair shall not release or dispatch any orders unless payment has been received, no exceptions will be made.

9) Onlypro Hair reserves the right to withhold stock, orders or service until all accounts in arrears have been paid in full.

10) Onlypro Hair reserves the right to cancel this agreement upon any evidence that the terms and conditions have been breached and the partner salon or any of its affiliates have or might damage the integrity of the brand.

11) The partner salon / stylist and Onlypro Hair are parties to this agreement and neither Onlypro Hair or any of their employees with under any circumstances deal directly with guests or customers.

12) Installation and Use of Onlypro Hair Extensions should only be done by a professional qualified hair stylist or extension technician. To the maximum extent permitted by law, Onlypro Hair shall not be responsible or liable for any liability, whether in contract, delict or otherwise, for any injury, damage or loss whatsoever arising in any way in connection with the improper installation or application (by The Partner Salon / Stylist or any third party), including (without limitation) direct, indirect, special or consequential loss or damage arising from claims by The Partner Salon / Stylist, third parties or otherwise, and The Partner Salon / Stylist shall indemnify and keep Onlypro Hair fully indemnified from and against any and all suits, actions, claims, demands, losses, liabilities, damages, costs and expenses which may be made or brought against or suffered or incurred by Onlypro Hair arising out of or in connection in any way as a result same.

13) The Partner Salon / Stylist acknowledges and agrees that all intellectual property rights in goods and services supplied by Onlypro Hair are owned by Onlypro Hair and that The Partner Salon / Stylist acquires no intellectual property rights in any goods or services provided by Onlypro Hair to The Partner Salon / Stylist unless a separate deed of assignment is executed by Onlypro Hair as a deed in relation to the intellectual property rights in any goods or services provided by Onlypro Hair to The Partner Salon / Stylist.

14) The Partner Salon / Stylist agrees that the dealings with Onlypro Hair are and shall remain strictly confidential and shall not be disclosed by The Partner Salon / Stylist to any other person.
